Our Corporate vision is 'To be the Preferred Supplier and the Most Innovative Enterprise'. We are currently looking for a new Sr Legal Counsel working within ourLegaldepartment. MAJOR DUTIES AND RESPONSIBILITIES Advice and Counsel. Independently identifies and quantifies legal risks on routine matters including creating options or alternatives to appropriately balance risk and business objectives. For more complex or significant matters, works under the direction of a senior attorney and/or secures advice from outside counsel. Works on and coordinates matters that have a scope beyond assigned client organization. For more complex or significant matters, works under the direction of a senior attorney. Selects counsel from approved or established alternatives. Raises issues that have applicability across business units within one or more countries. Leads development and implementation of legal or business processes or policies across one or more functions within a country. Provides advice, counsel and training on a range of matters relative to general counsel and business conduct compliance in assigned area of responsibility, including company policies, antitrust or regulatory matters, conflicts of interest, litigation, product sales and marketing, etc. Begins to make recommendations regarding strategic matters to colleagues and/or management. Participates in decisions relating to strategic matters, consistent with the business unit's strategic plan. Transaction Services. Leads transactional projects and counsels clients for assigned area of responsibility, including distributorships, buy/sell agreements, confidentiality agreements (CDAs), consulting agreements, licenses, joint development agreements, R&D agreements, etc. More complex projects may be completed under direction of more senior attorneys. Assists with and may independently conduct due diligence for small or local projects. Prepares daily contracts independently and may consult with senior attorneys for more complex ones. Negotiates routine transactions independently and may consult with senior attorneys for more complex ones. Manages agreement/transaction approval process for assigned areas of responsibility. Participates in determining negotiating strategy, as appropriate. Dispute Management. Consistent with departmental policy for litigation management and involvement of litigation managers: Independently assesses and manages disputes of low to moderate significance. May work on matters of greater significance under direction of senior level attorney or on a team. May make recommendations for dispute resolution alternatives. Drafts agreements and handles negotiations for routine matters. Provides recommendations for formulation of litigation strategy for matters of normal significance. Develops an understanding of the applicable law and recommends courses of action. When assigned, selects counsel from approved or established alternatives in consultation with manager. Supervision/Leadership. When assigned, has responsibility for supervising one or more individuals in the department; including training and coaching. Determines priorities, timetables and assigns resources/tasks. Accountable for activities and results of assigned functional area. Ensures alignment of department activities with overall Legal Affairs strategies. Leads development and implementation of legal or business processes or policies across one or more functions within a country. When assigned, assists with mentoring or legal development activities of other legal professional staff in the department. The job also requires performing other duties as assigned. QUALIFICATIONS Qualified to practice law in PRC-- PRC LLB and PRC bar required. The job primarily requires understanding of assigned business units/staff groups (business acumen) and law, as well as gaining the trust and confidence of principal clients. Knowledge includes relevant law of the country and outside of the country, as needed. Begins to use business acumen to identify and quantify legal risks and create options or alternatives to appropriately balance risk and business objectives with the input of senior attorneys, as appropriate. Able to gather information from the client, analyze it for legal risk and issues, and organize information, issues, risks and potential solutions to facilitate client understanding of the situation and client decision-making. Able to identify issues and perform legal research. Able to draft clear and concise documents that apply the appropriate law and that represent and protect 3M's interests. Able to begin to work at a strategic level, to understand relevant strategies, such as business or technological, of assigned organization(s) and the industry, in order to help drive the growth of the business. Able to manage an assigned budget. Able to deal with a variety of situations that require independent judgment and the ability to influence others. Consistent with experience, able to handle assignments independently with minimal general supervision and an appropriate degree of productivity. As appropriate, able to provide input on and/or supervise the work of others, or coach other lawyers. As appropriate, able to lead a work group or project team, including having project management skills. The employee primarily uses legal and business knowledge, problem solving, analytical, persuasive, written and verbal communication, and interpersonal skills to identify risk and legal issues, provide guidance to the client in a clear, concise and persuasive manner, and resolve legal issues. Able to use prior experience, knowledge and training, to apply legal standards, reaching the best proposed solution with the input of senior attorneys, as appropriate. Also required are administrative, time management, and prioritization skills. Able to transfer experiences from one business/staff group assignment to another. Able to navigate the organizational matrix applicable to the assignment. Able to assess the communication needs of the client across a range of organizational levels. Able to present educational information to the client in a clear, concise manner that is easily understood. The ability to communicate in written and spoken English is required.
