Title: Vice President, Legal & Compliance
Location: Toronto

Overview:

Work closely with Canadian business, external clients and Legal & Compliance team to provide legal advice and compliance/regulatory support on a variety of securities law and investment management issues, and corporate/commercial and business matters.
Responsibilities:


Day-to-day advice on matters impacting the Canadian business, including advice related to prospectus qualified funds and exempt products.

Assist with launch of new investment products such as institutional pooled funds and iShares funds, including preparation and maintenance of documents such as trust agreements, offering memoranda and prospectuses, including coordinating with external counsel.

Assist with the negotiation of investment management and other client and third party agreements.

Assist with compliance function, including the enhancement of internal policies and procedures, registrations and reporting, aimed at mitigating risk or improving efficiency.

Ability to understand client’s needs balanced with the firm’s policies is critical.

Act as a resource to leverage the time of the Legal & Compliance team. The successful candidate must be able to obtain sufficient practical knowledge to review and ascertain issues that require review and approval by other areas of the firm from those that can be handled by Legal & Compliance.

Assistance with other legal and compliance functions such as corporate secretarial work, maintenance of regulatory documents and research on various regulatory topics or regulatory proposals.

Skills:


Junior lawyer with superior academic credentials and three to five years of investment management experience in a law firm or the legal department of a leading financial institution strongly preferred.

Organized, accurate and detail oriented. Capacity for working effectively on multiple tasks simultaneously in a fast paced environment.

Excellent analytic, written and oral communication and relationship building skills required.

Proven ability to exercise independent judgment in determining legal vs. business decisions and commercial outlook essential.

Ability to function both independently and as part of a team.

The candidate should also be capable of overseeing work done by external counsel.

Completion of (or willing to enroll in) the Canadian Securities Course is considered an asset.

Bilingualism an asset (English and French).
