DescriptionLocation: Corporate Headquarters - Lexington, Kentucky Overview: The Contracts Attorney or Legal Counsel for Lexmarks Supply Base Management Division is responsible for providing legal guidance to Buyers in executing the sourcing strategies to support best in class procurement of goods and services, in particular for worldwide manufacturing and technology development operations. The SBM Legal Counsel supports Supply Base Management leadership in strategic planning and the development, implementation and monitoring of corporate objectives, initiatives, policies, and procedures. This individual provides the legal counsel in the development, negotiation and execution of vendor contracts, in compliance with corporate requirements, and is responsible for ensuring contract tracking and reporting. Primary Responsibilities: Responsible for drafting agreements with vendors, services providers and licensors in coordination with SBM Commodity Managers in the areas of corporate infrastructure needs, product manufacturing, distribution, customer services, and as otherwise needed to meet corporate go-to-market strategies. Provides best-in-class negotiation on contracts for goods and services and/or protection of confidential information and interacts with management and business unit personnel to achieve optimal terms to meet business objectives. Responsible for examining contracts and related documents to ensure completeness and accuracy, as well as conformance to applicable laws, rules, precedents, and corporate requirements. Coordinates with finance, treasury, tax and other internal personnel to evaluate contractual terms and advise on legal issues relating to business engagements and assist in identification of risks and potential mitigation efforts or alternatives. Collaborates across global legal teams and cross-functional teams to facilitate efficient procurement processes including the development of templates and implementation of effective policies and procedures on contract management and risk mitigation. Proactively works with business units to provide guidelines and other resources to address procurement needs and provide contract information in a fast paced environment. Responsible for tracking and reporting on all contracts reviewed and signed in order to provide reliable and up-to-date contract data to SBM management. Coordinates with SBM department personnel on documentation of transactions and contract administration. Required Education and Experience: Bachelors Degree (B.A.) and a Juris Doctorate (J.D.) required. Member of the bar of at least one (1)U.S.state or theDistrict of Columbiais required. Minimum of five years (5) years of post-J.D. professional work experience is required. Minimum of (3) years experience in an international contracts / business law environment (in-house legal department of international company or business law firm working for international clients).
