Summary of Position: provide legal advice on all corporate matters relating to structure, compliance, and complaint, as well as legal policy internally and released to the general public. Furthermore, provide advices and support to different business lines on how to minimize legal risks by advising officers and board members on any major legal and regulatory issues the company confronts.

Essential Responsibilities:

• Communicating and working with regulators at both a state and federal level.
• Analyzing and drafting new rules and regulations in the industry.
• Advising on complex sophisticated new business proposals and products, business
• counseling, and reviewing and drafting agreements with clients and customers.
• Negotiate and draft intellectual property transactions.
• Perform legal due diligence for merger and acquisition transactions.
• Work with business lines to create new products and designs while ensuring regulatory compliance.
• Overseeing and supervising legal department processes.
• Reporting to the CEO and Board of Directors with regard to the legal affairs of the corporation

Qualifications and Requirements:

• Three years Law degree from an ABA accredited law school.
• 2 - 5 years of experience
• Must practice in state where can register as in-house counsel.
• Strong business acumen and the ability to understand key business drivers.
• Solid corporate practice skills including contract review, contract preparation, corporate transactional support and intellectual property management.
• Strong leadership skills.
• Superior organizational skills.
• Strong project management skills.
• Excellent written and verbal communication skills are essential.
• Profound knowledge of: Google products, Docs/Drive, Calendar, Voice, Contacts,
• Google+ (for video conferencing), Chat/Talk, Youtube, Chrome (Web Browser), Skype, Microsoft Word, Paint, Teamviewer, Basecamp, WordPad/NotePad.

Additional Requirements:

• Must be able to pass drug test and criminal background examination.
